Establishing a Business: Which Legal Form to Choose?

You’ve finally completed the feasibility study for your commercial, industrial, artisanal, agricultural, maritime, or service-based business project. With investment, financing, and projected operational plans in place, it is time to bring your idea to life.

The question then arises: What legal form should your business take? Within Moroccan legislation, there are around twenty forms for professional practice. However, upon closer examination, only one legal form might fit your situation.

It does not depend on the scale of the investment, the capital amount, the turnover, or the number of partners or employees. The answer to four questions will suffice to guide you towards the appropriate legal form for your young enterprise:

  1. What activity will you be undertaking? Indeed, certain activities can only be carried out within a specific legal framework.
  2. Will you operate alone or in partnership?
  3. In case of a partnership: do you foresee changes in partners, whether freely or under certain conditions?
  4. Will you put your assets at stake, or limit your commitments to your own contribution, whether alone or in partnership?
